General Terms and Conditions
- Company information: Munchi ("Munchi" or "We") is a registered company based in Helsinki, Finland, operating through gomunchi.com. Munchi provides an all-in-one digital POS system, order and payment solutions, self-service kiosks, and marketing services for restaurants.
- Scope and effective date: These General Terms and Conditions apply to all agreements between Munchi and its customers ("Customer"). By accepting Munchi's services, the Customer acknowledges they have read, understood, and agreed to these terms. These terms take effect upon acceptance of the agreement.
- Services, partners and data sharing: Munchi provides digital solutions for restaurant ordering and payment, including self-ordering kiosks, online order management, and marketing services. The service may include the rental or provision of hardware, software licensing, support, and transaction processing. Munchi collaborates with third-party service providers ("Partners") for payment processing, delivery integrations, and data management. Customers acknowledge that certain data will be shared with Partners for service fulfillment, regulatory compliance (e.g., Know-Your-Customer processes), and operational purposes.
- Hardware:
- Ownership and Use Any hardware provided by Munchi, including kiosks, POS terminals, and accessories ("Hardware"), remains the property of Munchi unless explicitly purchased by the Customer. Hardware must not be transferred, modified, or tampered with without Munchi’s written approval.
- Hardware Returns Upon termination of the agreement, all Munchi-owned hardware must be returned following Munchi’s return procedure. Failure to return hardware within the stipulated timeframe may result in additional charges.
- Connectivity requirements: The Customer is responsible for ensuring stable internet connectivity (Wi-Fi or mobile network) for Munchi's hardware and software to function properly. Munchi is not liable for disruptions caused by inadequate network conditions.
- Payment processing and transactions:
- Payment Gateway and Transaction Fees Munchi partners with licensed payment processors to facilitate transactions. Transaction fees are deducted as per the agreed pricing model (e.g., percentage-based or fixed fee). Customers agree to comply with all requirements set by payment processors.
- Payouts Munchi facilitates weekly payouts to Customers for sales processed through its platform, deducting applicable transaction fees, commissions, or other agreed charges. Payout reports detailing transactions and deductions will be provided.
- Loyalty program & tokens: Munchi offers a loyalty program that allows restaurants to reward customers. The program operates as a points-based system, which may be tokenized in the future. Points are not initially tradable as cryptocurrency and remain non-transferable outside Munchi’s ecosystem.
- Marketing services: Munchi provides optional marketing services, including online advertising, influencer collaborations, and promotions. Marketing campaigns are agreed upon separately, and performance results may vary. Munchi does not guarantee specific revenue outcomes from marketing efforts.
- Fees, pricing and billing:
- Subscription Plans Munchi offers different pricing models, including fixed monthly fees or percentage-based transaction fees. The Customer agrees to pay fees based on their selected plan.
- Late Payments Invoices must be paid within the specified due date. Late payments may incur penalties or suspension of services.
- Contract duration and termination
- Contract Term Munchi’s service agreements are available in fixed contract lengths of 12, 24, 36, or 48 months. The Customer commits to the agreed-upon duration upon signing the contract.
- Termination and Notice Period Either party may terminate the agreement with a 30-day written notice upon completion of the agreed contract period of 12, 24, 36, or 48 months. Early termination before the contract’s expiration may result in penalties or outstanding payments as per the agreement.
- Breach of Contract Munchi reserves the right to suspend or terminate services immediately if the Customer:
- Fails to pay agreed fees
- Violates usage policies or legal compliance
- Engages in fraudulent or unauthorized activities
- Liability and limitations: Munchi is not liable for indirect damages, lost profits, or operational disruptions caused by third-party providers, network failures, or force majeure events. Munchi’s total liability is limited to fees paid by the Customer in the last three months.
- Data privacy and security: Munchi processes Customer data in compliance with applicable privacy regulations. Customers consent to the necessary data sharing with Partners for service fulfillment. Munchi maintains industry-standard security measures to protect data integrity.
- Disputes and governing law: All disputes arising from this agreement shall be resolved under Finnish law. Any legal proceedings shall be initiated in Helsinki District Court.
- Changes to terms: Munchi reserves the right to update these terms without prior notice. Continued use of Munchi’s services constitutes acceptance of revised terms.
